Transitioning to the new governance structure: Special General Meetings (SGMs)

As you may recall, all members of CCS Disability Action were invited to vote at their local 2024 AGM on a remit to accept the proposed new governance structure.
The voting system was proportional, based on the total number of members per branch. Our constitution required us to have 67 per cent of votes in favour of the remit. We exceeded this requirement with 96 per cent of the votes in favour.
This means that our branches have voted to accept the new three-entity governance model proposed by the CCS Disability Action National Board.
As a reminder, this is what our new governance structure will look like:
Next steps – Special General Meetings
To support us to adopt the new governance structure, we need to take some legal steps in the form of two Special General Meetings (SGMs).
These SGMs are being held online and at your local branch in March and May and will enable two further remits to be approved so we can move towards the new governance structure.
As a member, you should have received an email or letter notifying you of the first SGM being held in March and explaining the details of the remit. If not, please contact Irene Wilson at Irene.Wilson@ccsdisabilityaction.org.nz

Details for the second SGM in May will be sent out after the first SGMs have taken place across the country.
Details of the SGMs
Special General Meeting 1
Date: Each branch and the national entity will hold its first SGM (online via Zoom) between March 3rd and March 17, 2025.
Purpose: Approve the proposed additional wording to our current branch and national constitutions.
Why: Our current branch and national constitutions were created under the Incorporated Societies Act 1908 and do not allow us to transfer assets to the new governance structure. The new additional wording to our constitutions will enable us to transfer assets.
Special General Meeting 2
Date: Each branch and the national entity will hold its second SGM (online via Zoom) between May 26 and June 9, 2025.
Purpose: To agree to the transfer of assets from the branch and national incorporated societies to the new governance structure.
Why: We need to transfer assets to the new CCS Disability Action Foundation. The Foundation will look after all CCS Disability Action non-operational assets under the new governance structure.
